ORDER
Whereas, On February 24, 1998 LDM Systems, Incorporated ("LDM") and RSL Com U.S.A., Incorporated ("RSL") filed a joint application with the Rhode Island Division of Public Utilities and Carriers ("Division") seeking approval for the planned transfer of control of LDM from its current shareholders to RSL through the sale of LDM's stock. The application was filed in accordance with the requirement of Rhode Island General Laws, Section 39-3-24.
Whereas, The applicants have provided the Division with a comprehensive description of and explanation for the proposed corporate restructuring.
Whereas, The applicants have further provided the Division with an evaluation of the public interest considerations related to the instant proposal.
Whereas, The Division has fully reviewed the filing, in the context of pertinent law, and finds that the proposal will not adversely affect Rhode Island ratepayers. The Division notes that LDM's current authority was conferred through Docket No. 2262 (R2); and that RSL's current authority was confirmed through Docket No. 2262 (W6).
Accordingly, it is
That the applicants' restructuring proposal is hereby approved. Dated and Effective at Providence, Rhode Island on February 26, 1998.
