ORDER

Whereas, on April 10, 1998 Qwest Communications International, Incorporated ("Qwest"), LCI International, Incorporated ("LCII"), LCI International Telecom Corporation ("LCIT") and USLD Communications, Incorporated ("USLDI") filed a joint application with the Rhode Island Division of Public Utilities and Carriers ("Division") seeking approval for the planned transfer of control of LCIT and USLDI from the current shareholders of LCII to Qwest. The application was filed in accordance with the requirements of Rhode Island General Laws, Section 39-3-24.

Whereas, the applicants have provided the Division with a comprehensive description of and explanation for the proposed corporate restructuring.

Whereas, the applicants have further provided the Division with an evaluation of the public interest considerations related to the instant proposal.

Whereas, the Division has fully reviewed the filing, in the context of pertinent law, and finds that the proposal will not adversely affect Rhode Island ratepayers. The Division notes that LCIT's current authority was conferred through Docket Nos. 2585, and 2262 (E1); and that Qwest's current authority was confirmed through Docket No. 2262 (S4).

Accordingly, it is

That the applicants' restructuring proposal is hereby approved. Dated and Effective at Providence, Rhode Island on April 30, 1998.
