ORDER
Whereas, on May 1, 1998, CRG International, Incorporated ("CRG") and Professional Communications Management Services, Incorporated ("PCMS"), filed a joint application with the Rhode Island Division of Public Utilities and Carriers ("Division") seeking approval of an asset purchase agreement to be executed between CRG and PCMS. The application was filed in accordance with the requirements of Rhode Island General Laws, Section 39-3-24.
Whereas, the applicants have provided the Division with a comprehensive description of and explanation for the proposed asset purchase agreement.
Whereas, the applicants have further provided the Division with an evaluation of the public interest considerations related to the instant proposal.
Whereas, the Division has fully reviewed the filing, in the context of pertinent law, and finds that the proposal will not adversely affect Rhode Island ratepayers. The Division notes that CRG's current authority was conferred through Docket No. 2262 (Z8); and that PCMS's current authority was conferred through Docket No. 2262 (A4).
Accordingly, it is
That the applicants' asset purchase proposal is hereby approved. Dated and Effective at Providence, Rhode Island on May 13, 1998.
